1. Service Description

The AI Compliance Readiness Assessment ("ACRA" or "the Assessment") is a productized service offered by Kaizen AI Lab, a division of CVDH LLC ("Kaizen," "we," "us," or "our"). ACRA evaluates an organization's current AI governance practices through a structured questionnaire, then generates a scored compliance report using artificial intelligence.

The Assessment collects information about your organization, including its name, industry, size, and a designated contact person. You then complete a 45-question multiple-choice questionnaire covering AI governance domains such as policy frameworks, risk management, data handling, model oversight, and organizational readiness.

Based on your responses, ACRA produces a report that includes:

2. Important Disclaimers

ACRA is not legal advice. The Assessment and its resulting report are informational and educational tools designed to help organizations understand their current AI governance posture. Nothing in the Assessment, the report, or any related communications constitutes legal advice, compliance certification, or a professional opinion on your organization's regulatory standing.

ACRA is not a compliance certification. Completing the Assessment and receiving a report does not certify, attest, or guarantee that your organization complies with any federal, state, local, or international law, regulation, or standard. The Assessment does not replace compliance audits, legal reviews, or regulatory filings.

ACRA does not guarantee regulatory compliance. No score, stage diagnosis, or recommendation in the report should be interpreted as a representation that following the roadmap will result in full compliance with any specific regulation or framework (including, without limitation, the EU AI Act, NIST AI RMF, ISO 42001, state-level AI laws, or sector-specific requirements).

You should consult qualified legal counsel. We strongly recommend that you engage an attorney or compliance professional with expertise in AI governance and your specific industry before making decisions based on your ACRA report. The report is a starting point for conversations with qualified advisors, not a substitute for them.

3. Assessment Methodology

ACRA reports are generated through AI-powered analysis of your self-reported questionnaire responses. The methodology works as follows:

  1. Response Collection. You provide organizational information and complete the 45-question assessment through our web-based form.
  2. AI Processing. Your anonymized questionnaire responses (stripped of personally identifiable information) are submitted to AI models for analysis, scoring, and report generation.
  3. Quality Review. Generated reports undergo human quality review before delivery to verify coherence, accuracy of scoring calculations, and alignment with the assessment framework.
  4. Report Delivery. The finalized report is delivered to the email address you provided during registration.

Accuracy of inputs. The quality and accuracy of your report depend directly on the truthfulness, completeness, and accuracy of the responses you provide. Kaizen AI Lab is not responsible for inaccurate, misleading, or incomplete assessment results that arise from incomplete, inaccurate, or untruthful responses. If you are uncertain about how to answer a question, we encourage you to consult with relevant stakeholders within your organization before submitting.

Point-in-time analysis. Your report reflects the state of your organization's AI governance practices as described at the time of submission. Regulatory landscapes, industry standards, and best practices evolve. The report does not account for changes occurring after your submission date.

4. Payment Terms

4.1 Pricing

ACRA is offered at cohort-based pricing tiers ranging from $249 to $1,499, depending on the active pricing cohort at the time of your purchase. Your price locks at the rate displayed when you complete your purchase. Subsequent pricing changes (whether increases or decreases) do not affect completed transactions.

4.2 Payment Processing

All payments are processed through Stripe, Inc. ("Stripe"). Kaizen AI Lab does not directly collect, store, or have access to your full credit card number, debit card number, or bank account details. Your payment is subject to Stripe's terms of service and privacy policy in addition to these Terms.

4.3 Refund Policy

Because ACRA delivers a digital report generated specifically from your individual responses, all sales are final once the report has been delivered. If you experience a technical issue that prevents report delivery, or if you believe your report contains a material error in scoring, contact us at info@kaizenailab.com within 14 days of purchase. We will investigate and, at our sole discretion, either re-generate the report or issue a refund.

Refund requests based on dissatisfaction with assessment results, disagreement with scoring methodology, or decisions made in reliance on the report will not be honored. The Assessment provides an analytical output, not a guaranteed outcome.

5. Intellectual Property

5.1 Kaizen's Proprietary Rights

The ACRA assessment framework, scoring methodology, question bank, report templates, benchmarking algorithms, and all associated intellectual property are owned exclusively by Kaizen AI Lab (CVDH LLC). These materials are protected by copyright, trade secret, and other applicable intellectual property laws.

5.2 Your Report License

Upon delivery of your report, Kaizen grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use your individual assessment report for your organization's internal purposes. "Internal purposes" includes sharing the report with your organization's employees, officers, directors, advisors, and legal counsel for the purpose of evaluating and improving your AI governance practices.

You retain ownership of the information you provide through the questionnaire. By submitting your responses, you grant Kaizen AI Lab a limited license to use that information to generate your report and to include anonymized, aggregated versions of your responses in benchmarking datasets as described in our Privacy Policy.

7. Limitation of Liability

7.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KAIZEN AI LAB'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE ASSESSMENT, THE REPORT, OR THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO KAIZEN AI LAB FOR THE SPECIFIC ASSESSMENT GIVING RISE TO THE CLAIM.

7.2 IN NO EVENT SHALL KAIZEN AI LAB, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:

arising out of or related to the Assessment, the report, or these Terms, regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if Kaizen AI Lab has been advised of the possibility of such damages.

7.3 Without limiting the foregoing, Kaizen AI Lab shall have no liability for any claim arising from: (a) your reliance on assessment results for regulatory compliance decisions without independent legal review; (b) inaccurate or incomplete information you provided during the Assessment; (c) changes in applicable laws, regulations, or industry standards occurring after report delivery; or (d) actions or inactions of third parties, including regulators, auditors, or business partners.

7.4 Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations above shall apply to the fullest extent permitted by applicable law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Kaizen AI Lab (CVDH LLC), its members, officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

10. Modifications to These Terms

Kaizen AI Lab reserves the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page.

For material changes (those that meaningfully affect your rights or obligations), we will make reasonable efforts to notify you via the email address associated with your assessment. Your continued use of the ACRA service after such modifications constitutes acceptance of the updated Terms.

If you do not agree with modified Terms, do not submit a new assessment. Terms in effect at the time you completed and paid for a specific assessment will govern that particular transaction and the resulting report.

11. Governing Law and Dispute Resolution

11.1 Governing Law. These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

11.2 Jurisdiction. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in the State of California, and you consent to the personal jurisdiction of such courts.

11.3 Informal Resolution. Before initiating any formal legal proceeding, you agree to contact us at info@kaizenailab.com and attempt to resolve the dispute informally for at least 30 days. Many concerns can be resolved quickly and cooperatively through direct communication.

12. General Provisions

12.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Kaizen AI Lab regarding the ACRA service and supersede all prior agreements, understandings, and communications (whether written or oral) on this subject.

12.2 Severability. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

12.3 Waiver. Kaizen AI Lab's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

12.4 Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. Kaizen AI Lab may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets.
